1. Service Overview

lacks analytics (hereinafter "this service") is a B2B SaaS (Software as a Service) that enables social media management agencies to analyze and operate the social media accounts of client companies across platforms. This service is operated by lacks japan Co., Ltd. (hereinafter "the provider"). To use this service, agreement to a usage contract concluded individually between the provider and the user, as well as to these terms, is required. Use without agreement is not permitted.

2. Eligibility

This service is primarily intended for social media management agencies. Use is conditional on the user having legitimate management authority over the social media accounts to be operated and the prior consent of the owner of those accounts. Only corporations that have concluded a usage contract with the provider, and individuals (aged 18 or older) granted usage authority by such corporations, may use this service.

Connection of accounts that violate the age restrictions set by each social media platform (Instagram / TikTok / YouTube prohibit use by those under 13, and Threads prohibits use by those under 16) is not permitted.

3. Account Management Responsibility

Users are responsible for managing their own login information and the authentication credentials of their connected social media accounts. The provider shall not be liable, to the extent permitted by law, for damages arising from inadequate management of authentication credentials. In using this service, users shall not engage in any of the following acts.

5. Intellectual Property Rights

All intellectual property rights relating to this service, including source code, design, and trademarks, belong to the provider. Ownership of content such as draft posts and analysis reports created or entered by users through this service belongs, in principle, to the users.

However, users grant the provider a free, non-exclusive, sublicensable, and irrevocable license to use the users' usage status and deliverables of this service (limited to those anonymized into a form that cannot identify individuals) for the following purposes.

6. Disclaimers

Some features of this service may be suspended or changed without notice due to changes in the API specifications, failures, or specification restrictions of each social media platform. The provider will endeavor to give reasonable prior notice, but is exempted from liability for damages arising therefrom to the extent permitted by law.

This service is provided on an as-is basis, and we make no warranty, whether express or implied, as to its fitness for a particular purpose, merchantability, or non-infringement of the rights of third parties.

The total amount of the provider's liability for damages to a user shall be limited to the total amount of usage fees paid by the user to the provider during the three months immediately preceding the month in which the cause of the damage arose. However, this shall not apply in cases of the provider's willful misconduct or gross negligence.

7. Disclaimer for AI Generation Features

This service uses third-party generative AI (LLM) services for purposes such as assisting in the generation of draft posts. The accuracy, completeness, and fitness for a particular purpose of results generated by AI are generally not guaranteed, and unintended output (so-called hallucinations) may occur. Before publishing or using generated results, users shall verify the content at their own responsibility.

8. Responsibility for Handling End User Information

With respect to the information of end users (followers of client companies, comment posters, etc.) that a social media management agency obtains through this service, the agency bears the primary management responsibility in its relationship with end users. The provider handles such information only within the scope of the processing entrusted to it by the agency.

The agency bears responsibility for compliance with the Act on the Protection of Personal Information and other related laws and regulations with respect to information obtained from end users.

9. Responsibility for Team Member Management

This service provides four roles: owner / admin / editor / viewer. The owner bears management responsibility for the member composition and granting of permissions of their own organization, and blocking access for retired or terminated members is also the owner's obligation. The admin may manage members within the scope delegated by the owner. The editor may perform operational tasks such as posting and analysis, and the viewer may only view data.

10. Confidentiality Obligation

The provider and the user shall keep confidential the business and technical information disclosed by the other party in connection with the provision of this service (hereinafter "confidential information"), and shall not disclose or leak it to third parties without the prior written consent of the other party. This obligation shall continue for three years after the termination of this contract.

The following information is excluded from confidential information: information that is already publicly known, information that was already known before receiving disclosure from the other party, information obtained without confidentiality obligation from a third party with legitimate authority, information independently developed, and information whose disclosure is required by law or court order.

11. Service Suspension and Termination

The provider may suspend the provision of this service or terminate the contract upon prior notice if a user falls under any of the following. In cases of high urgency, suspension may be carried out without prior notice.

Users may terminate their use of this service by notifying the provider in writing or by email at least 30 days in advance.

12. Governing Law and Court of Jurisdiction

These terms are governed by the laws of Japan. With respect to any disputes arising in connection with this service, the court having jurisdiction over the location of the provider shall be the exclusive agreed court of jurisdiction for the first instance.

13. Changes to the Terms

The provider may change these terms as necessary. Where the content of the change has a material effect on users, the provider will give prior notice of the content of the change and the effective date on this service or via the email address registered by the user. If a user continues to use this service on or after the effective date, the user shall be deemed to have agreed to the revised terms.
